Legal Technician – Corporate and Commercial Law

Do you have experience in corporate and commercial law? You are versatile and you have the eye for detail?

We are currently seeking a legal technician in corporate and commercial law. The company is located in Saint-Jérôme.

Your role:

• Prepare the legal documentation relating to the corporate operations of a legal person (constitution, amendment of the articles of association, merger, dissolution, registration of extra-provincial companies, etc.);
• Prepare corporate documentation for transactions, including agreements, resolutions and closing agendas;
• Prepare corporate documentation in the context of corporate reorganizations and the execution of tax memos;
• Manage files according to priorities, ensure accuracy of information and follow-up with clients;
• Check the minute books and write reports of the various irregularities found and the solutions proposed;
• Conduct corporate research on different public registers;
• Periodically update corporate books (resolutions, annual reports, annual update statements);
• Maintain corporate data in the EnAct database;
• Perform other related tasks.

• Diploma of College Studies in Legal Techniques, or equivalent
• Minimum of 5 to 10 years of experience in a corporate law sector, including transactional experience
• Bilingualism (French and English) both orally and in writing
• Knowledge and ability to interpret the laws governing federal (Canada) and provincial (Quebec) corporations and any legislation prior to them
• Computer skills with the Microsoft Office suite• Knowledge of EnAct

• Mobility, flexibility and availability for overtime
