Legal Counsel / Attorney

This is a Contract position in Montreal, QC posted June 19, 2022.

Responsibilities Day-to-Day Responsibilities: Support the Office of the Corporate Secretary ( i.e.

, corporate secretarial function) for SG’s banking and non-banking operations, America’s Legal Division; Serve as a chief point of contact for corporate and committee governance; Serve as Secretary for executive management-level committees; Work with participants to prepare agendas and review (providing feedback as needed) materials for meetings; Liaise with SG Paris on governance issues; Assist in legal entity management for the SG’s branches, representative offices and subsidiaries; form and dissolve companies; advise the business with regard to entity establishment and dissolution, including internal policy, state and other regulatory requirements and compliance responsibilities; assist the business with fulfilling such requirements; advise the business regarding transactional authority relative to powers of attorney; interpret by-laws, LLC agreements and other constitutive documents and assess impact on business needs; Regularly interface with Business Units and Support Functions to advise and assist with good governance across the governance committees and the legal entity structures; Ensure compliance with governance record keeping policies and procedures; Maintain and update and assist in implementing local and global corporate governance policies and procedures, including signature authority policies, committee governance, etc.

Assist in preparing and filing reports of required information to relevant regulators; interface with regulators on matters involving corporate governance and the Office of the Corporate Secretary; Take minutes; draft and execute resolutions, prepare government filings, maintain corporate minute books for all legal entities, draft and execute corporate certificates and powers of attorney, maintain various databases with legal entity, Committee governance and regulatory reporting information; Assist other members of the Legal Department on longer-term or ad hoc projects and assignments.

Profile required Competencies: Excellent work ethic and positive attitude.

Excellent drafting and communication skills; Proven ability to exercise prudent commercial judgment and to work with minimal supervision; Focus on problem resolution and not simply issue identification; Ability to prioritize and to assist in developing new internal processes and controls.

Desired / Plus: Understanding of enterprise risk management function and purpose; Expertise with Excel and PowerPoint presentations Experience Needed: The person must have obtained a Bachelor of law from a reputable university and possess 3 to 5 years of experience in a Canadian law firm or the legal department of a company operating in a relevant industry; Superior organizational, project management and interpersonal communication skills; Tremendous focus on customer service, ability to handle all aspects of complicated projects from start to finish; Excellent drafting skills, including resolutions, minutes, incumbency and secretary certificates Comfort and experience working with technology, including internal and external databases, reporting tools and third party service providers; Collaborative team player; Experience with working with Boards of Directors, management committees and general corporate secretary functions.

Educational Requirements: The person must have a Bachelor of Laws, a license to practice law and be admitted to the Bar of Quebec or from another Canadian province, (and be in good standing); Membership of a US Bar would be an asset.

Desired / Plus: Experience working in in-house legal department of a bank or other financial services institution with businesses similar to those of Société Générale.

Any additional educational credentials relevant to the financial services industry or corporate governance and/or corporate compliance.

Languages: Biligualism (FR, EN) would be an asset.
